Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PortIQ website, platform, and supply chain risk alert service (the "Service"), operated by Jifu LLC ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Acceptance of Terms

By creating an account, signing up for early access, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Beta Service

PortIQ is currently offered as a beta service ("Beta"). As such:

• The Service is provided free of charge during the beta period
• The beta period duration is at our sole discretion and may end at any time
• The Service may contain bugs, errors, or incomplete features
• We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time without notice
• Features, pricing, and service levels are subject to change upon general availability (GA)

3. No Service Level Agreement (SLA)

During the beta period, the Service is provided on an "as is" and "as available" basis. We do not offer any SLA, uptime guarantee, or service commitment. The Service may experience interruptions, downtime, or data loss. You acknowledge that PortIQ is a risk monitoring tool and should not be your sole source of supply chain intelligence.

4. User Accounts and Obligations

You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized use of your account
• Use the Service only for lawful purposes and in compliance with all applicable laws
• Not attempt to disrupt, reverse-engineer, or abuse the Service
• Not use the Service to monitor or collect data in a manner that violates third-party rights

You are responsible for all activity occurring under your account.

5. Intellectual Property

All content, features, and functionality of the Service — including but not limited to software, algorithms, data models, user interface designs, logos, and branding — are the exclusive property of Jifu LLC and are protected by applicable intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent. The PortIQ name and logo are trademarks of Jifu LLC.

6. User Data

As described in our Privacy Policy, you retain ownership of any personal or business data you provide. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service to you. We will not use your data for purposes other than those described in our Privacy Policy without your consent.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, Jifu LLC disclaims all warranties, including but not limited to:

• Merchantability or fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, reliability, or completeness of alerts and data
• Uninterrupted or error-free operation
• Timeliness of alerts — PortIQ provides risk intelligence but does not guarantee real-time delivery under all conditions

Supply chain risk alerts are informational tools. You should independently verify critical information before making operational decisions.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JIFU LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES arising out of or related to your use of the Service, including but not limited to:

• Business interruption or loss of profits, revenue, or data
• Delayed, inaccurate, or missed alerts
• Decisions made based on Service data
• Unauthorized access to or alteration of your transmissions or data
• Any other matter relating to the Service

Our total liability for any claims under these Terms shall not exceed the amount you have paid us (if any) in the 12 months preceding the claim. During the beta period, as the Service is free, our liability is limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Jifu LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Termination

We reserve the right to terminate or suspend your access to the Service at any time, without prior notice, for any reason, including:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment (if applicable after beta)
• At our convenience upon discontinuation of the Service

Upon termination, your right to use the Service will immediately cease. Provisions regarding intellectual property, disclaimers, limitation of liability, and governing law shall survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.
